Acceptable Use Policy.
This Acceptable Use Policy (“AUP”) sets forth the principles that govern the use by customers of the Web-based products and services provided by DataNet, Inc. (DataNet). This AUP is intended to protect the property of DataNet and its customers, intellectual and otherwise, and to help protect DataNet’s customers and the business community at large from illegal, irresponsible, abusive or unauthorized activities. Where mentioned, “Services” refers collectively to the proprietary computer code, programs, databases, design schema and associated documentation of DataNet.
DataNet’s Services are intended solely for the legal use of its customers according to executed license and services agreements governing the use of the Services.
BY USING THE SERVICES, YOU AGREE TO BE BOUND BY AND MUST COMPLY WITH THE TERMS AND CONDITIONS OF THIS AUP.
1. Prohibited Activities.
Using DataNet Services for illegal purposes or in support of illegal or wrongful activities is prohibited. DataNet reserves the right to cooperate with legal authorities and affected third parties in the investigation of any suspected crime or civil wrong. Without limiting the general prohibition against illegal and wrongful activities above, the following activities, which are potentially illegal or otherwise constitute unauthorized use, are prohibited:
1.1. Unauthorized copying of sensitive, confidential, proprietary or copyrighted material including, but not limited to, digitization and distribution of documents, business information, financial data, personally identifiable information of any individual, data sources, and copyrighted software;
1.2. Copying or duplicating DataNet software or applications, or creating subsets or derivative databases from the Services, except for personal, non-commercial, use only in accordance with an executed license and services agreement;
1.3. Providing services facilitated by the Services for a fee to third parties except as authorized in advance in writing by DataNet;
1.4. Exporting software or technical information in violation of U.S. export control laws;
1.5. Threatening bodily harm, data corruption or property damage to companies or individuals;
1.6. Using the Services for fraudulent transactions;
1.7. Attempting to access the user profiles of others, or attempting to penetrate security measures of DataNet’s or other entities' systems ("hacking"), whether or not the intrusion results in corruption or loss of data;
1.8. Any activities which adversely affect the ability of DataNet or other users or systems to use the Services. This includes "denial of service" attacks against DataNet’s servers, network hosts and individual client users;
1.9. Revealing user logins and passwords to anyone other than the applicable registered user and permitted administrators and allowing use of an account by anyone, either inside or outside of your organization, other than the applicable registered user;
1.10. Simultaneous use of the same username and password combination;
1.11. Forging any user information, message header (“spoofing”), in part or whole, of any electronic transmission, originating from or passing through the Services;
1.12. Distributing viruses to or from DataNet systems;
1.13. Use of software or any device that would log in a user profile while not attended and supervised personally by the registered user;
1.14. Accessing information or systems for which the customer is not licensed, logging into a client portfolio or user profile the user is not expressly authorized to access, and
1.15. Probing the security of DataNet servers and networks or otherwise attempting to ascertain vulnerabilities in the Services.
2.1. DataNet has no practical ability to restrict all conduct, communications or content which might violate this AUP prior to its transmission through or within DataNet’s systems, nor can DataNet ensure prompt removal of any information, communications or content that violates this AUP after transmission or posting.
2.2. Accordingly, DataNet does not assume liability to users and others for any failure to enforce, or delay in enforcing, the terms of this Policy.
3. Revisions to this Policy
3. 1. DataNet reserves the right to modify this AUP at any time without notice. Notice of modifications to this AUP may be given by DataNet to its customers by posting the changes to the DataNet homepage (http://www.datanet.com), by electronic mail or by United States mail.
4. Limitation of Responsibility
4.1. Except for applications and software provided by DataNet, DataNet’s customers are responsible for providing and maintaining all equipment and other software necessary to access the Services.
5. Compliance with Security Procedures
5.1. Users of the Services must comply with all security procedures and standards specified by DataNet.
6. Enforcement
6.1. DataNet’s failure to enforce, or delay in enforcing, strict performance of any provision of this Agreement will not be construed as a waiver.
6.2. DataNet reserves the right to monitor access to the Services by authorized users by various methods, as part of the normal course of business. If DataNet discovers users engaged in actions prohibited by this AUP, either currently or on a previous occasion, DataNet reserves the right to temporarily suspend user access to DataNet Services. DataNet will provide a user’s organization with notice of any temporary suspension, and the cause for suspension, as soon as reasonably practical. Temporary suspensions will remain in effect until remedial measures acceptable to DataNet have been agreed upon and implemented.
6.3. DataNet will not issue any services credits for outages experienced by any user of the Services due to a suspension of services related to any violation of this AUP.
